California Social Responsibility Statement

The California Transparency in Supply Chains Act of 2010 (SB 657)(the “Act”) takes effect January 1, 2012. The Act requires manufacturers and retailers doing business in California to disclose certain informat ion regarding their efforts to eradicate slavery and human trafficking from their direct supply chains.

As a responsible corporate citizen, WinCup seeks to ensure that all of its suppliers comply in all respects with applicable laws, including laws regarding slavery and human trafficking. We have undertaken the following steps in an effort to verify the absence of slavery and human trafficking in our supply chain:

Supplier Certification: WinCup has received certifications from nearly all of its suppliers that the products supplied to WinCup comply with all applicable laws regarding slavery and human trafficking in the country or countries in which each supplier does business. WinCup intends to continue to diligently pursue the few suppliers that have not yet returned the requested certifications until WinCup has received certifications from all the suppliers.

Code of Business Conduct and Ethics; Training: WinCup’s Code of Business Conduct and Ethics requires all of our employees to conduct our business in accordance with applicable laws and regulations and in accordance with the highest standards of business ethics. A violation of the Code may result in penalties, including termination. Employees whose job functions include procurement have undergone training on slavery and human trafficking and mitigating risks within our supply chain. We believe that this training will assist our employees in ensuring that our suppliers are in compliance with applicable laws regarding slavery and human trafficking.

It is important to WinCup that all of our suppliers comply with all applicable laws regarding slavery and human trafficking and we are hopeful that our efforts will prevent slavery and human trafficking in our supply chain.
